Common use of Variation and assignment Clause in Contracts

Variation and assignment. 18.1 These Terms of Business may not be assigned by the Intermediary without the written agreement of the Insurer. 18.2 The Insurer reserves the right to vary these Terms of Business and / or replace and/or vary any Proposition Statement, upon giving fourteen (14) days' notice to the Intermediary except in circumstances where changes in the Regulatory Requirements are required to take immediate effect, in which case no notice will be required. 18.3 Neither Party may delegate or subcontract any of its rights, benefits, interests and/or obligations under these Terms of Business without the prior written consent of the other Party, such consent not be unreasonably withheld or denied.
