Common use of Valuation by Board Clause in Contracts

Valuation by Board. At the end of each fiscal quarter and whenever valuation of Company assets or net assets is otherwise required by this Agreement, the Board (with the input of the Adviser, the audit committee of the Board, and an external, independent valuation firm retained by the Company described in 13.4.5) shall determine the value of the Company’s assets for which market quotations are not readily available in good faith in accordance with this 13.4. Valuations of Company assets for which market quotations are not readily available will be determined by the Board at the end of each fiscal quarter.
