VALUATION BASIS. The Parties agree that the total shareholders’ equity value of the Target Company as of November 17, 2025 (hereinafter referred to as the “Base Valuation”), as confirmed in the Audit Report and/or Asset Valuation Report issued by an audit/valuation institution accepted by Party A, shall serve as the pricing basis for this equity transfer.
