Common use of Validity of Bonds Clause in Contracts

Validity of Bonds. The validity of the authorization and issuance of the Bonds is not dependent on and shall not be affected in any way by any proceedings taken by the Authority or the Trustee with respect to or in connection with the Loan Agreement. The recital contained in the Bonds that the same are issued pursuant to the Act and the Constitution and laws of the State shall be conclusive evidence of their validity and of compliance with the provisions of law in their issuance.

Validity of Bonds. The validity of the authorization and issuance of the Bonds is not dependent on and shall will not be affected in any way by any defect in any proceedings taken by the Authority or City for the Trustee with respect to or in connection with refunding of the Loan Agreement. The Prior Bonds, and the recital contained in the Bonds that the same are issued pursuant to the Act and the Constitution and other applicable laws of the State shall will be conclusive evidence of their validity and of compliance with the provisions regularity of law in their issuance.
