Common use of Validity and Enforceability Clause in Contracts

Validity and Enforceability. This Amendment constitutes the valid and binding obligation of each of the Credit Parties enforceable in accordance with its terms, except as the enforceability thereof may be limited by bankruptcy, insolvency, fraudulent conveyance or transfer, moratorium or similar laws affecting creditors’ rights generally, and general equitable principles including remedies of specific performance and injunction.

This Amendment constitutes the a legal, valid and binding obligation of each of the such Credit Parties Party, enforceable in accordance with its terms, except as the enforceability thereof may be limited by subject to applicable bankruptcy, insolvency, fraudulent conveyance or transferreorganization, moratorium or similar other laws affecting creditors’ rights generallygenerally and subject to general principles of equity, and general equitable principles including remedies regardless of specific performance and injunctionwhether considered in a proceeding in equity or at law.
