Common use of Valid Licenses Clause in Contracts

Valid Licenses. P&GP represents and warrants that (i) it has authority to grant the rights and licenses set forth in this Agreement with respect to the Samples and all derivative materials of such Samples and (ii) to the best of P&GP's knowledge, Gene Logic shall have free and clear right to all derivative materials of such Samples. Gene Logic represents and warrants that it has authority to grant the rights and licenses set forth in this Agreement.
