Common use of Valid Issuance of the Shares Clause in Contracts

Valid Issuance of the Shares. The Shares to be purchased by the Underwriters hereunder have been duly authorized and are validly issued, fully paid and non-assessable, and conform to the description thereof contained in the Disclosure Package and the Prospectus.

Valid Issuance of the Shares. The Shares to be purchased issued and sold by the Company to the Underwriters hereunder have been duly and validly authorized and, when issued and are delivered against payment therefor as provided herein, will be duly and validly issued, fully paid and non-assessable, nonassessable and free of any preemptive or similar rights and will conform in all material respects to the description thereof contained in the Disclosure Package and the Prospectus.
