Common use of Valid Authorization Clause in Contracts

Valid Authorization. Each of the Borrower Group Obligors has taken all necessary corporate or partnership (as applicable) action to authorize the creation, execution and delivery of, and performance of its respective obligations under, this Agreement and each of the other Loan Documents to which it is a party, and this Agreement and each of the other Loan Documents, when signed and delivered, have or will have been duly executed and delivered in accordance with such corporate or partnership action (as applicable).

Valid Authorization. Each of the Borrower Group Obligors and each of the Subsidiaries that is a party to any of the Loan Documents has taken all necessary corporate or partnership (as applicable) action to authorize the creation, execution and delivery of, and performance of its respective obligations under, this Agreement and each of the Loan Documents to which it is a party in accordance with the respective terms of each of the other Loan Documents to which it is a party, and this Agreement and each of the other Loan Documents, when signed and delivered, have or will have been duly executed and delivered in accordance with such corporate or partnership action (as applicable).
