Use with Other Name. The Licensee shall not (a) co-join any name or names with the Licensed Mark, (▇) use the name ‘‘Calv▇▇ ▇▇▇i▇’’ ▇r ‘‘CK’’ or ‘‘CK/Calv▇▇ ▇▇▇i▇’’ ▇r any portion or derivative thereof in its corporate name except as previously approved or subsequently approved by CONFIDENTIAL TREATMENT CKI in writing, or (c) use any other name, or names in connection with the Licensed Mark, ▇▇ any advertising, promotion, publicity, labeling, packaging or other printed matter of any kind in connection with the distribution or sale of Licensed Products except as may be approved in writing by CKI. Any use of the Licensee’s corporate name or that of its Affiliates in connection with the Licensed Mark ▇▇▇l be subject to the approval of CKI. If CKI approves any use of the Licensed Mark ▇▇ connection with the Licensee’s corporate name, the Licensee will clearly indicate that the Licensee is using the Licensed Mark ▇▇▇suant to a license from CKI as may be required by CKI. The Licensee will use such trade name to designate the operations under this Agreement as is approved by CKI, and will file a fictitious name certificate (‘‘d/b/a’’) or use of ‘‘trade name’’ certificate or notice, as is generally used or required in the various jurisdictions in the Territory to reflect such use, as is reasonably approved by CKI).

Notwithstanding the foregoing, if current license or credential documents are not available through no fault of the NPS/A, timely application having theretofore been made, this Master Contract shall remain in effect until such documents are made available to the NPS/A from the Consumer Affairs Department or the Commission on Teacher Credentialing. The NPS/A shall in turn submit copies of same to the LEA within five (5) business days of receipt by the NPS/A. b) CONTRACTOR shall monitor the status of licenses, credentials, permits and/or other documents for all individuals employed, contracted, and/or otherwise hired by CONTRACTOR to provide special education services to LEA students. CONTRACTOR shall provide to LEA updated information regarding the status of licenses, credentials, permits and/or other documents as specified in LEA Procedures. CONTRACTOR will be considered to be in breach of this contract for any service provided by an unqualified provider or one who has an expired credential. In such an event, the provider shall be paid at 70% of the agreed upon rate.

  • Conflicts with Other Agreements In the event of any conflict or inconsistency between the terms of this Agreement and any employment, severance or other agreement between the Company and the Participant, the terms of this Agreement shall govern.

  • Termination of Other Agreements This Agreement sets forth the entire understanding of the parties hereto with respect to the Option and Option Shares, and supercedes all prior arrangements or understandings among the parties regarding such matters.
