USE OF UNIVERSITY'S NAME. The Company shall not use the University's name in connection with the work undertaken under the Agreement without the express written consent of the University which shall be sought on each occasion. Such consent shall not be unreasonably withheld. FORCE MAJEURE Neither Party shall be deemed to be in breach of this Agreement if it is unable to carry out any provision of it for any reason beyond its control including (without limiting the generality of the foregoing) acts of God, legislation, fuel shortages, war, fire, flood, drought, failure of power supply embargo, civil commotion and employee action.
USE OF UNIVERSITY'S NAME. User shall not use the name or xxxx of University in any form or manner in advertisements, reports, or other information released to the public without the prior written approval of University.
USE OF UNIVERSITY'S NAME. Company and its Affiliates, Sublicensees, employees, and agents may not use the name, logo, seal, trademark, or service mark (including any adaptation of them) of University or any University school, organization, employee, student or representative, without the prior written consent of University.
USE OF UNIVERSITY'S NAME. The use of the name of UNIVERSITY, or any contraction thereof, in any manner in connection with the exercise of rights under this LICENSE AGREEMENT is expressly prohibited without the prior written consent of UNIVERSITY, provided that, notwithstanding the foregoing, LICENSEE shall have the right to identify UNIVERSITY as the licensor and, under conditions of confidentiality, to disclose the terms of this LICENSE AGREEMENT to prospective investors, acquirors, sublicensees, strategic partners, investment bankers, and regulatory authorities, in connection with its financing, regulatory, licensing, development, and stockholder relations activities or that it may deem to be required in any prospectus, offering memorandum, or other document or filing prepared in connection with its compliance obligations under applicable securities law or other applicable law or regulation.
USE OF UNIVERSITY'S NAME. 8.1 The use of the name of University, or any contraction thereof, in any manner in connection with the exercise of this license is expressly prohibited except with prior written consent of University, which shall not be unreasonably withheld.
USE OF UNIVERSITY'S NAME and Trademarks or the Names of University Faculty, Staff, or Students. No provision of this Agreement grants Company any right or license to use the name or trademarks of University or the names or identities of any member of the faculty, staff, or student body of University. Company shall not use any such trademarks, names, or identities without University’s and, as the case may be, such member’s prior written approval.
USE OF UNIVERSITY'S NAME. Other than disclosure of the existence and terms of this LICENSE AGREEMENT by LICENSEE in the ordinary course of business, including without limitation, disclosure to prospective sublicensees, investors, prospective investors, lenders, collaborators and strategic partners, the use of the name of UNIVERSITY, CALTECH, or NCSU or any contractions thereof, in any manner in connection with the exercise of this LICENSE AGREEMENT is expressly prohibited without the prior written consent of UNIVERSITY.
USE OF UNIVERSITY'S NAME. The use of the name of UNIVERSITY, or any contraction thereof, in any manner in connection with the exercise of this LICENSE AGREEMENT is expressly prohibited without the prior written consent of UNIVERSITY, except as otherwise may be required by applicable law, or any judicial, governmental, regulatory or stock exchange requirement, regulation, rule or order.
USE OF UNIVERSITY'S NAME. COMPANY shall not use the name or logos of the UNIVERSITY, including but not limited to The Regents of the University of California, University of California or UC Dxxxx, in any form or manner in any publicity, advertisements, reports or other information released to the public without UNIVERSITY’S prior written approval. California Education Code Section 92000 prohibits use of UNIVERSITY’S name(s) to suggest that UNIVERSITY endorses a product or service.
USE OF UNIVERSITY'S NAME. Consultant shall not use the name, trade name, trademark, or any other designation of the University, any school, college, division, department, or other unit of the University, or any employee of the University, or any contraction, abbreviation, adaptation, or simulation of any of the foregoing, for any purpose, including but not limited to, in any advertisement or for any commercial or promotional purpose (including without limitation in any portfolio or on any website or similar forum) without the University's prior written consent. This Section 9 shall survive termination of this Agreement.
