Use of Subcontract a. Pursuant to Section 18 (“Subcontracting”) of this Agreement, Contractor is prohibited from subcontracting this Agreement or any services provided pursuant to this Agreement without the prior written consent of the District. Any subcontracting by Contractor of the services to be provided under this Agreement must be approved by in writing the District ExCEL Office at least thirty (30) days in advance of the proposed commencement of any such subcontracting. b. If Contractor uses a subcontractor to perform services under this Agreement, Contractor shall be responsible for the subcontractor as Contractor is responsible for its own employees pursuant to the terms of this Agreement, including but not limited to Section 8 (“Independent Contractor”), Section 9 (“Insurance”), Section 10 (“Indemnification”), Section 23 (“Criminal Background Checks; Subsequent Arrest Notification”), Section 24 (“Tuberculosis Testing”), and Section 31 (“Compliance With Covid-19 Measures”) as well as meeting instructional aide qualifications pursuant to Section B(8)(a) of Appendix A of this Agreement, as applicable. For Section 23 (“Criminal Background Checks; Subsequent Arrest Notification”) requirements as applied to any subcontractor, the Contractor shall ensure that the subcontractor follows Sections 23 and 24 as to subcontractor’s employees, agents, and volunteers, and that the subcontractor provides the Contractor with written certification of compliance, which Contractor will in turn provide to the District. c. Contractor shall ensure that any services provided by a subcontractor are consistent with the requirements of the grant funding and the terms of this Agreement. d. Contractor’s use of a subcontractor without the District’s prior written approval as required in this Agreement may result in District’s immediate termination of this Agreement at the sole discretion of the District.

  • Subcontracting 6.1 The Grantee is responsible for the performance of its obligations under this Agreement, including in relation to any tasks undertaken by subcontractors. 6.2 The Grantee agrees to make available to the Commonwealth the details of any of its subcontractors engaged to perform any tasks in relation to this Agreement upon request.

  • Assignment and subcontracting 11.2.1 Subject to clause 11.2.2, the Collaboration Suppliers will not assign, transfer, novate, sub-license or declare a trust in respect of its rights under all or a part of this Agreement or the benefit or advantage without the prior written consent of the Buyer. 11.2.2 Any subcontractors identified in the Detailed Collaboration Plan can perform those elements identified in the Detailed Collaboration Plan to be performed by the Subcontractors.

  • Subcontracts The contractor or subcontractor shall insert in any subcontracts the clauses set forth in paragraph (1.) through (4.) of this section and also a clause requiring the subcontractors to include these clauses in any lower tier subcontracts. The prime contractor shall be responsible for compliance by any subcontractor or lower tier subcontractor with the clauses set forth in paragraphs (1.) through (4.) of this section.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work. The Department supports diversity in its procurements and contracts, and requests that the Contractor offer subcontracting opportunities to certified woman-, veteran-, and minority-owned small businesses.   • Scope of Work For the 2022/2023 Grant Period, the Provider will maintain a victim services program that will be available to provide direct services to victims of crime who are identified by the Provider or are presented to the Provider, as specified in the Provider’s 2022/2023 Grant Application as approved by the OAG and incorporated herein by reference.
