Common use of Use of Prospectus Clause in Contracts

Use of Prospectus. Each Holder agrees that if Mail.xxx xxxifies the Holder in writing of the happening of any event as a result of which the prospectus included in such registration statement contains an untrue statement of a material fact or omits any fact necessary to make the statements therein not misleading, the Holder will discontinue immediately its disposition of securities pursuant to the registration statement until the Holder receives copies of an amended or supplemented prospectus, and if so directed by Mail.xxx, xxll deliver to Mail.xxx xxx copies then in Holder's possession of the prospectus relating to such Registrable Securities current at the time of receipt of such notice.
