Usage Guidelines. A. Any public use of the Sprint Marks ("Use") must follow Sprint's guidelines. Use of the Marks includes the following: o Broadcast (TV and Radio) o Print o Direct Mail o New Media (on-line, CD ROM, Internet, etc.) o Collateral Materials o Endorsements/Sponsorships o Use of Celebrities and/or Public Figures o Retail Packaging/Use with Third Parties B. The following standards apply to all Uses of the Sprint Marks. o All uses of the Sprint Marks must be in a manner generally consistent with the overall Sprint Brand Positioning Statement (attached as Ex. 1), as determined by Sprint. Sprint will review all advertising/communication strategy and make judgments on its consistency with the overall Sprint Brand positioning within ten (10) days of receipt. If the strategy is judged to be inconsistent, it will not be used or will be changed to be consistent with Sprint Brand positioning. Pre-production advertising/communications will be reviewed by Sprint for consistency with the Sprint Brand Positioning and personality within ten (10) days of receipt. If the advertising/communications are judged to be inconsistent, they will not be used or will be changed to be consistent with Sprint Brand positioning and personality. o Sponsorship or endorsements using the Sprint Brand are not allowed without the prior written consent of Sprint. The criteria that will be used by Sprint in determining whether to allow the proposed sponsorship or endorsement are attached as Exhibit 2. All new sponsorships or endorsements must be consistent with Sprint Brand positioning and should not compete in any way with any new sponsorships that are being recommended and will make judgments on consistency with the overall Sprint sponsorship strategy within thirty (30) days of receipt. o Only the Sprint name and the Diamond Logo are being licensed. Usage Guidelines. 1. Licensor will provide Licensee, from time to time, with a Graphic Standards Manual (the "Graphic Standards Manual") containing written and graphic guidelines for the correct reproduction, application and presentation of the Marks. The Graphic Standards Manual may include, among other things, ▇▇▇▇ specimens, samples of advertisements and clip art indicating color, proportion, and format. The Graphic Standards Manual may also provide for the use of one or more tag lines to be used to differentiate or highlight a particular service or offering or group of services or offerings, such as "Paging By Cellular One" and require its usage in specific circumstances, including use on signage and promotional materials referenced in Section IV.F. The Graphic Standards Manual may also provide guidelines for the proper use of tag lines and require such usage in the event that two or more licensees of the Marks are permitted to make use thereof within the Licensed Territory, or any part thereof, pursuant to Sections VI.C. or VI.D. 2. From time to time, upon not less than one (1) year's notice, Licensee shall be entitled to designate one or more icons to be used with one or more of the Marks and the manner of their usage to signify an association of such icon or icons with such Marks.
Usage Guidelines. If Customer develops or has developed advertising, marketing, or promotional materials related to Products that uses Neuronetics trademarks, service marks, trade dress, other proprietary elements, or other indicia of origin controlled by Neuronetics, including logos and designs, then, before using or disseminating any such materials: (i) Customer will comply with the then-current Neuronetics branding and style guidelines and the then-current Neuronetics quality control requirements; and (ii) provide copies of such materials to Neuronetics. Neuronetics reserves the right, at any time, to: (ix) require Customer to change or discontinue Customer’s use of the Neuronetics Marks or the Marketing Material if Neuronetics, in its sole discretion, believes that such use is detrimental to Products, the Neuronetics Marks, the Marketing Material, or Neuronetics’ business interests.; and (x) inspect to ascertain that the Neuronetics Marks and the Marketing Collateral are used only for services performed using Products. Customer will promptly comply with Neuronetics’ requests regarding the use of the Neuronetics Marks and the Marketing Collateral. Customer will not adopt, use, or seek to register any trademarks, service marks, trade dress, other proprietary elements, or other indicia of origin, including logos and designs, that are confusingly similar to any of the Neuronetics Marks, and Customer will not combine any of the Neuronetics Marks with any other trademark, service mark, other mark, trade dress, other proprietary element, other indicia of origin, logo, design, word, term, device, logo or other matter. Customer will not adopt, use, or register any domain name that incorporates any of the Neuronetics Marks. Customer will not in any way use the Neuronetics Marks in a manner that could cause any confusion with, diminution in value of, or other adverse effect to the Neuronetics Marks. All goodwill derived from the use of the Neuronetics Marks will inure solely to the benefit of Neuronetics.

For any purpose covered by Oregon’s domestic violence leave rules, such as to seek legal or law enforcement assistance or remedies to ensure the health and safety of the employee or the employee’s minor child or dependent for proceedings related to domestic violence, harassment, sexual assault, or stalking and/or to seek medical treatment, recover from injuries, or obtain services related to domestic violence, sexual assault, harassment or stalking incidents to the employee or employee’s minor child or dependent. h. Certain public health emergencies. i. For any reason as specified by the State or Federal Law.
