Common use of U.S. Legends Clause in Contracts

U.S. Legends. Certificates representing Subscription Receipts originally issued to a U.S. Person, a Person in the United States or to a Person purchasing for the account or benefit of a U.S. Person or a Person in the United States, as well as all certificates issued in exchange for or in substitution of such certificates representing Subscription Receipts, shall bear the U.S. Legend.

U.S. Legends. Certificates representing Subscription Receipts originally issued to a U.S. Person, a Person in the United States or to a Person purchasing for the account or benefit of a U.S. Person or a Person in the United StatesStates (collectively, "U.S. Purchasers"), as well as all certificates issued in exchange for or in substitution of such certificates representing Subscription Receipts, shall bear the U.S. LegendLegend set forth in Section 4.05(b), unless and until the U.S. Legend is no longer required under the requirements of the U.S. Securities Act.
