Common use of Upfront Payment Clause in Contracts

Upfront Payment. In consideration for the licenses granted by Ambrx to BMS hereunder and Ambrx’s obligations hereunder to provide technology transfer to BMS and certain research and development expenses incurred by Ambrx prior to the Effective Date, BMS shall pay Ambrx a signing payment of eighteen million nine hundred thousand Dollars ($18,900,000) within ten (10) Business Days after the Effective Date. Such payment shall be noncreditable and nonrefundable.
