Common use of Update Clause in Contracts

Update. Not less than six business days prior to the Closing, each party shall deliver to the other an update to its Dis- closure Statement describing any material changes and containing any new or amended documents, as specified below, that are not contained in its Disclosure Statement as initially delivered. This update shall not cure any breach of a representation or warranty occurring at the time of execution of this Plan of Merger.
