Unconditional Date. The SPA shall become unconditional on the date on which the last of the conditions set out in Paragraph 3.1 is obtained or fulfilled or waived, in accordance with the provisions of the SPA and the date specified in the confirmatory notice pursuant to Paragraph 3.2 shall be the Unconditional Date.
