Unauthorized Uses. Customer agrees that (i) the activities described in Section 5a.i and Section 5a.ii (Limitations on Use) (A) are, without limitation, part of the bargained for conditions of sale of the Products, (B) are not included within the Customer Use or the Research Use or otherwise within the rights expressly provided to Customer pursuant to Section 3 (Rights Accompanying Purchase), and (C) each, including restrictions against the use of the Product to perform any of those activities, is an unauthorized use, may infringe Illumina Intellectual Property Rights, and is part of the bargained for conditions of sale of the Products; and (ii) any violation of or breach of any provision of this Section 5 or any use of the Products outside the scope of the rights expressly granted to Customer in Section 3 (Rights Accompanying Purchase) is a breach of this Agreement.
Unauthorized Uses. Broker/Subscriber and/or Website Vendor will not make copies of the Confidential Information. Broker/Subscriber and/or Website Vendor will not directly or indirectly disclose, display, provide, transfer, or otherwise make available the Confidential Information to any person or entity, unless Broker/Subscriber and/or Website Vendor has received prior written consent from WPML to do so. At no time and under no circumstances will Broker/Subscriber and/or Website Vendor reverse engineer, decompile, or disassemble any software constituting part of the Confidential Information. Broker/Subscriber and/or Website Vendor will not incorporate the Confidential Information into any other work or product.
Unauthorized Uses. Tenant shall limit its uses of the Premises to the Aeronautical Uses and Incidental Nonaeronautical Uses described in this Exhibit G. Use of the leased premises for nonaeronautical uses beyond Incidental Nonaeronautical Uses described in this Exhibit G, shall immediately alter this Lease Agreement as follows:
Unauthorized Uses. Distributor shall not knowingly sublicense Supplier’s Images for use in an unlawful, obscene, pornographic, offensive or defamatory manner. Distributor shall ensure that their website shall not contain any material that is unlawful, obscene, pornographic, offensive or defamatory.
Unauthorized Uses. If Licensee transfers, sells or distributes to any unauthorized third party any artwork, voice clips, or other Fox proprietary materials related to the Property including but not limited to Marketing Materials, then Fox may terminate this Agreement forthwith on written notice without any cure period.

Licensees are authorized to allow only employees and volunteers of their organization to use the licensed property and therefore need to acknowledge that content will not be shared outside of the Licensees' program. This agreement does not permit anyone other than Authorized Users to use the Licensed Property nor permit Authorized Users to use the Licensed Property for any uses other than Authorized Uses. The Licensee shall not modify, translate, or create a derivative work of the Licensed Property. The Licensee shall not modify, remove, or obscure any copyright notices or other notices included in the Licensed Property. The Licensee shall not use the Licensed Property for commercial purposes, including but not limited to sale of the Licensed Property or bulk reproduction or distribution of the Licensed Property, or any portion thereof, in any form. Any unauthorized use of any of the license’s property constitutes copyright infringement and subjects unauthorized users to applicable to possible civil and other penalties. Ownership and Protection of the Licensed Property and Reservation of Rights South Coast Together (SCT) is the owner of the copyright and content of the Licensed Property. Except as expressly set forth herein, all rights of whatever nature in and to the Licensed Property are reserved by SCT, including, without limitation, the right to authorize others to access and use the Licensed Property. The Licensee shall make reasonable efforts to prevent Unauthorized Uses of the Licensed Property. In the event the Licensee becomes aware of any infringement by third parties of any rights licensed herein, or any other unauthorized uses of the Licensed Property, the Licensee shall promptly notify SCT in writing of such infringement or unauthorized use, and shall do such acts and assist in supplying such information as is reasonably necessary or desired by SCT in relation thereto. SCT shall take only those steps which, in its sole discretion, are necessary to enforce its rights, including the engagement of legal counsel of its own choosing. Nothing herein shall obligate SCT to take any action against any allegedly infringing party or unauthorized users. Upon SCT's request, the Licensee will cooperate fully, at SCT's expense, in confirming, perfecting, preserving and enforcing SCT's rights in the Licensed Property. Unauthorized Uses. Except as provided under Authorized Uses above, the Licensee shall not knowingly permit anyone other than Authorized Users to use the Licensed Materials. Licensee shall not modify, translate, the Licensed Materials without the written permission of the AACR. Licensee may not download, mount or create a derivative work of the Licensed Materials on any system or network, including, without limitation the internet and the World Wide Web. Licensee may not systematically make print or electronic copies of multiple extracts or make multiple copies of any part of the Licensed Materials for any purpose other than as expressly permitted by this License. Licensee may not publish, distribute or make available the Licensed Materials, works based on the Licensed Material or works which combine them with any other material, other than as permitted in this License. Licensee shall not modify, remove, or obscure any copyright notices or other notices included in the Licensed Materials. Licensee may not alter, abridge, adapt or modify the Licensed Materials, except to the extent necessary to make them perceptible on a computer screen to Authorized users. For the avoidance of doubt, no alteration of the words or their order is permitted. Licensee may not use the Licensed Materials for Commercial Use purposes, including but not limited to sale of the Licensed Materials or bulk reproduction or distribution of the Licensed Materials in any form. Licensee is prohibited from making agreements for access to the Licensed Materials with individuals, organizations, vendors, affiliates or partners which are not departments of the Licensee. Licensee affirms that all IP addresses are specifically controlled by Licensee for workstations/computers under its administrative control and for the use of Authorized Users. Licensee is responsible for maintaining the list of IP addresses of all Authorized Users.
Unauthorized Uses. If Buyer uses or resells the Products for any uses prohibited in Seller’s instructions, guides or specifications, or Buyer otherwise fails to comply with Seller’s instructions, guides and specifications, Buyer acknowledges that any such use, resale, or non-compliance is at Buyer's sole risk. Buyer shall indemnify, defend, and hold Seller harmless from any losses, claims, liabilities, damages, lawsuits, judgments and costs (including attorney fees and defense costs), whether for personal injury, property damage, intellectual property infringement or any other claim, brought by or incurred by Xxxxx, Buyer’s employees, or any other person, arising out of: (a) improper selection, application, design, specification or other misuse of Products provided by Seller; (b) any act or omission, negligent or otherwise, of Buyer; (c) Seller’s use of patterns, tooling, equipment, plans, drawings, designs or specifications or other information or things furnished by Buyer; (d) damage to the Products from an external cause, repair or attempted repair by anyone other than Seller, failure to follow instructions, guides and specifications provided by Seller, use with goods not provided by Seller, or opening, modifying, deconstructing or tampering with the Products for any reason; or (e) Buyer’s failure to comply with these Terms. Seller shall not indemnify Buyer under any circumstance except as otherwise provided in these Terms.
Unauthorized Uses. Member shall not, and shall cause each of its directors, officers, employees, agents, advisors and other representatives (each, a “Representative”) not to, without the prior written consent of Salt: (i) sell, lease, transfer, provide, sublicense or otherwise make available to any third party the license granted under this Agreement to the Platform or any portion thereof, whether as a demonstration or otherwise; (ii) photocopy or otherwise reproduce in any medium the Platform or any portion thereof, including the Content, except that Member may print hard copies of such Content or any portion thereof for its own internal use (provided that all copyright and other proprietary notices and disclaimers are retained and complied with); or (iii) alter, enhance, make derivative works of, reverse engineer or decompile the Platform or any portion thereof, or otherwise take any action likely to harm the Platform.
Unauthorized Uses. The Products are not designed, intended, authorized, or warranted for use or inclusion in life support, financial institution, Government, aeronautical, aerospace, military, or nuclear applications, or FDA Class III or other devices for which FDA premarket approval is required, implantable devices or in life support or life endangering applications where failure or inaccuracy might cause death or personal injury. Products shall not be used for automotive or transportation applications or environments unless the specific Product has been designated by Seller as compliant with ISO/TS 16949 requirements. Products shall not be used if they have been subjected to operating or environmental conditions in excess of limits established in the Specifications or otherwise has been subjected to static, failure to ground properly, accident, mishandling, damage, misuse, abuse, neglect, alteration, or improper or unauthorized testing, installation or repair. Any unauthorized sale, use or inclusion by Buyer or any of its direct or indirect customers is fully at Buyer’s risk and voids any and all of Seller’s obligations and warranties.
