Unauthorized Action Clause Samples

The Unauthorized Action clause defines and restricts actions that a party is not permitted to take under the agreement. Typically, it outlines specific behaviors or decisions that require prior approval or are expressly forbidden, such as making commitments on behalf of the other party or accessing confidential information without consent. This clause serves to protect the parties from liability or harm resulting from actions taken outside the agreed scope, ensuring that all conduct remains within the boundaries set by the contract.
