Delivery to the Administrative Agent of UCC financing statements and, where appropriate, fixture filings and Patent and Trademark Office filings, duly executed by each applicable Loan Party with respect to all personal and mixed property Collateral of such Loan Party, for filing in all jurisdictions as may be necessary or, in the reasonable opinion of the Arranger, the Administrative Agent or the Intercreditor Agent, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents;, including those listed on Exhibit R.

UCC Financing Statements and Fixture Filings. Delivery to Administrative Agent of UCC financing statements and, where appropriate, fixture filings, duly executed by each applicable U.S. Loan Party with respect to all personal and mixed property Collateral of such U.S. Loan Party, for filing in all jurisdictions as may be necessary or, in the opinion of JPMSI and Administrative Agent, desirable to perfect and/or continue the security interests created in such Collateral pursuant to the Collateral Documents;; and

Delivery Subject to the provisions of subsection 4.4, delivery to Administrative Agent of UCC financing statements and, where appropriate, fixture filings, duly executed by each applicable Loan Party with respect to all personal and mixed property Collateral of such Loan Party, for filing in all jurisdictions as may be necessary or, in the opinion of Administrative AgentAgents, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents;

UCC Financing Statements and Fixture Filings. Delivery to Administrative Agent of UCC financing statements and, where appropriate, fixture filings, duly executed by each applicable Loan Party with respect to all personal and mixed property Collateral of such Loan Party, for filing in all jurisdictions as Administrative Agent may be necessary or, in the opinion of Administrative Agent, desirable reasonably request to perfect evidence the security interests in favor of Administrative Agent created in such Collateral pursuant to the Collateral Documents;Collateral; and

Delivery to the Administrative Agent of amendments to UCC financing statements and, where appropriate, amendments to fixture filings, duly executed by each applicable Loan Party with respect to all personal and material mixed property Collateral of such Loan Credit Party, for filing in all jurisdictions as may be necessary or, in the opinion of the Administrative Agent, desirable to perfect reflect the security interests created change in such Collateral pursuant to name of the Collateral DocumentsBorrower;

UCC Financing Statements and Fixture Filings. Delivery to Administrative Agent of UCC financing statements and, where appropriate, fixture filingsfilings (including, without limitation, assignments and amendments with respect to UCC financing statements and fixture filings filed in connection with the consummation of the transactions contemplated by the Existing Credit Agreement), duly executed by each applicable Loan Party with respect to all personal and mixed property Collateral of such Loan Party, for filing in all jurisdictions as may be necessary or, in the opinion of Administrative Agent, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents;; and

Delivery to Administrative Agent of UCC financing statements (or the foreign equivalent if applicable) and, where appropriate, fixture filings, duly executed by each applicable Loan Party (if required) with respect to all personal and mixed property Collateral of such Loan Party, for filing in all jurisdictions as may be necessary or, in the opinion of Administrative Agent, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents;
