Transitional Billing Services. Seller will provide to Buyer, upon request, access to and the right to use its billing system computers, software and related fixed assets ("Transitional Billing Services") in connection with the System for a period of up to 180 days following the Closing to allow for conversion of existing billing arrangements. Buyer will notify Seller at least 30 days prior to the Closing as to whether it desires Transitional Billing Services from Seller. Buyer will reimburse Seller for all direct expenses incurred by Seller in providing the Transitional Billing Services.
