Common use of Transitional Billing Services Clause in Contracts

Transitional Billing Services. Seller shall provide to Buyer, upon request, access to and the right to use its billing system computers, software and related fixed assets in connection with the Acquired Systems for a period of up to 90 days following the Closing Date to allow for conversion of existing billing arrangements ("Transitional Billing Services"). Buyer shall notify Seller at least 10 days prior to Closing as to whether it desires Transitional Billing Services. Transitional Billing Services, if any, that are requested by Buyer shall be provided on terms and conditions reasonably satisfactory to Seller; provided, however, that the amount to be paid by Buyer for such Transitional Billing Services shall not exceed the reasonable direct incremental cost to Seller of providing such Transitional Billing Services.
