Common use of Transition Services Managers Clause in Contracts

Transition Services Managers. (a) Cardinal Health hereby appoints and designates the individual holding the Cardinal Health position set forth on Exhibit I to act as its initial services manager (the “Cardinal Health Services Manager”), who will be directly responsible for coordinating and managing the delivery of the Cardinal Health Services and have authority to act on Cardinal Health’s behalf with respect to matters relating to this Agreement. The Cardinal Health Services Manager will work with the personnel of the Cardinal Health Entities to periodically address issues and matters raised by CareFusion relating to this Agreement. Notwithstanding the requirements of Section 11.05, all communications from CareFusion to Cardinal Health pursuant to this Agreement regarding routine matters involving the Services set forth on the Schedules shall be made through the Cardinal Health Services Manager, or such other individual as specified by the Cardinal Health Services Manager in writing and delivered to CareFusion by email or facsimile transmission with receipt confirmed. Cardinal Health shall notify CareFusion of the appointment of a different Cardinal Health Services Manager, if necessary, in accordance with Section 11.05. (b) CareFusion hereby appoints and designates the individual holding the CareFusion position set forth on Exhibit I to act as its initial services manager (the “CareFusion Services Manager”), who will be directly responsible for coordinating and managing the delivery of CareFusion Services and have authority to act on CareFusion’s behalf with respect to matters relating to this Agreement. The CareFusion Services Manager will work with the personnel of CareFusion Entities to periodically address issues and matters raised by Cardinal Health relating to this Agreement. Notwithstanding the requirements of Section 11.05, all communications from Cardinal Health to CareFusion pursuant to this Agreement regarding routine matters involving the Services set forth on the Schedules shall be made through the CareFusion Services Manager or such other individual as specified by the CareFusion Services Manager in writing and delivered to Cardinal Health by email or facsimile transmission with receipt confirmed. CareFusion shall notify Cardinal Health of the appointment of a different CareFusion Services Manager, if necessary, in accordance with Section 11.05.

(a) Cardinal Health hereby appoints and designates BarCap shall appoint an individual, by giving written notice thereof to LBHI within three Business Days following the individual holding the Cardinal Health position set forth on Exhibit I date hereof, to act as its initial services manager (the “Cardinal Health BarCap Services Manager”), who will be directly responsible for coordinating and managing the delivery of the Cardinal Health BarCap Services and have authority to act on Cardinal HealthBarCap’s behalf with respect to matters relating to this Agreement. The Cardinal Health BarCap Services Manager will work with the personnel of the Cardinal Health Entities BarCap to periodically address issues and matters raised by CareFusion LBHI relating to this Agreement. Notwithstanding the requirements of Section 11.059.05, all communications from CareFusion LBHI to Cardinal Health BarCap pursuant to this Agreement regarding routine matters involving the BarCap Services set forth on the Schedules shall be made through the Cardinal Health BarCap Services Manager, or such other individual as specified by the Cardinal Health BarCap Services Manager in writing and delivered to CareFusion LBHI by email or facsimile transmission with receipt confirmed. Cardinal Health BarCap shall reasonably promptly notify CareFusion LBHI of the appointment of a different Cardinal Health BarCap Services Manager, if necessary, in accordance with Section 11.059.05. (b) CareFusion hereby appoints and designates LBHI shall appoint an individual, by giving written notice thereof to BarCap within three Business Days following the individual holding the CareFusion position set forth on Exhibit I date hereof, to act as its initial services manager (the “CareFusion LBHI Services Manager”), who will be directly responsible for coordinating and managing the delivery of CareFusion the LBHI Services and have authority to act on CareFusionLBHI’s behalf with respect to matters relating to this Agreement. The CareFusion LBHI Services Manager will work with the personnel of CareFusion Entities LBHI to periodically address issues and matters raised by Cardinal Health BarCap relating to this Agreement. Notwithstanding the requirements of Section 11.059.05, all communications from Cardinal Health BarCap to CareFusion LBHI pursuant to this Agreement regarding routine matters involving the Services set forth on the Schedules shall be made through the CareFusion LBHI Services Manager Manager, or such other individual as specified by the CareFusion LBHI Services Manager in writing and delivered to Cardinal Health BarCap by email or facsimile transmission with receipt confirmed. CareFusion LBHI shall reasonably promptly notify Cardinal Health BarCap of the appointment of a different CareFusion LBHI Services Manager, if necessary, in accordance with Section 11.059.05.

Transition Services Managers. (a) Cardinal Health Covidien hereby appoints and desig- nates the individual holding the Covidien position set forth on Exhibit I to act as its initial ser- vices manager (the “Covidien Services Manager”), who will be directly responsible for coordi- nating and managing the delivery of the Covidien Services and have authority to act on Covidien’s behalf with respect to matters relating to the provision of Services under this Agree- ment. The Covidien Services Manager will work with the personnel of the Covidien Group to periodically address issues and matters raised by Mallinckrodt relating to the provision of Ser- vices under this Agreement. Notwithstanding the requirements of Section 9.06, all communica- tions from Mallinckrodt to Covidien pursuant to this Agreement regarding routine matters in- volving a Service shall be made through the individual specified as the local service manager (the “Covidien Local Service Manager”) with respect to such Service on the applicable Schedule or such other individual as may be specified by the Covidien Services Manager in writing and delivered to Mallinckrodt by email or facsimile transmission with receipt confirmed. Covidien shall notify Mallinckrodt of the appointment of a different Covidien Services Manager or Covidien Local Service Manager(s), if necessary, in accordance with Section 9.06. (b) Mallinckrodt hereby appoints and designates the individual holding the Cardinal Health Mallinck- rodt position set forth on Exhibit I to act as its initial services manager (the “Cardinal Health Services Mallinckrodt Ser- vices Manager”), who will be directly responsible for coordinating and managing the delivery of the Cardinal Health Mallinckrodt Services and have authority to act on Cardinal HealthMallinckrodt’s behalf with respect to matters relating to this Agreement. The Cardinal Health Mallinckrodt Services Manager will work with the personnel of the Cardinal Health Entities Mallinckrodt Group to periodically address issues and matters raised by CareFusion Covidien relating to this Agreement. Notwithstanding the requirements of Section 11.059.06, all communications from CareFusion Covidien to Cardinal Health Mallinckrodt pursuant to this Agreement regarding routine matters involving the Services set forth on the Schedules a Ser- vice shall be made through the Cardinal Health Services individual specified as the local service manager (the “Mallinck- rodt Local Service Manager, ”) with respect to such Service on the applicable Schedule or such other individual as specified spec- ified by the Cardinal Health Mallinckrodt Services Manager in writing and delivered to CareFusion Covidien by email or facsimile fac- simile transmission with receipt confirmed. Cardinal Health Mallinckrodt shall notify CareFusion Covidien of the appointment appoint- ment of a different Cardinal Health Mallinckrodt Services ManagerManager or Mallinckrodt Local Service Manager(s), if necessary, in accordance with Section 11.059.06. (b) CareFusion hereby appoints and designates the individual holding the CareFusion position set forth on Exhibit I to act as its initial services manager (the “CareFusion Services Manager”), who will be directly responsible for coordinating and managing the delivery of CareFusion Services and have authority to act on CareFusion’s behalf with respect to matters relating to this Agreement. The CareFusion Services Manager will work with the personnel of CareFusion Entities to periodically address issues and matters raised by Cardinal Health relating to this Agreement. Notwithstanding the requirements of Section 11.05, all communications from Cardinal Health to CareFusion pursuant to this Agreement regarding routine matters involving the Services set forth on the Schedules shall be made through the CareFusion Services Manager or such other individual as specified by the CareFusion Services Manager in writing and delivered to Cardinal Health by email or facsimile transmission with receipt confirmed. CareFusion shall notify Cardinal Health of the appointment of a different CareFusion Services Manager, if necessary, in accordance with Section 11.05.
