Transition Services Managers. (a) Pentair hereby appoints and designates the individual holding the Pentair position set forth on Exhibit I to act as its initial services manager (the “Pentair Services Manager”), who will be directly responsible for coordinating and managing the delivery of the Pentair Services and have authority to act on Pentair’s behalf with respect to matters relating to the provision of Services under this Agreement. The Pentair Services Manager will work with the personnel of the Pentair Group to periodically address issues and matters raised by nVent relating to the provision of Services under this Agreement. Notwithstanding the requirements of Section 9.06, all communications from nVent to Pentair pursuant to this Agreement regarding routine matters involving a Service shall be made through the individual specified as the local service manager (the “Pentair Local Service Manager”) with respect to such Service on the applicable Schedule or such other individual as may be specified by the Pentair Services Manager in writing and delivered to nVent by email or facsimile transmission with receipt confirmed. Pentair shall notify nVent of the appointment of a different Pentair Services Manager or Pentair Local Service Manager(s), if necessary, in accordance with Section 9.06.
(b) nVent hereby appoints and designates the individual holding the nVent position set forth on Exhibit I to act as its initial services manager (the “nVent Services Manager”), who will be directly responsible for coordinating and managing the delivery of the nVent Services and have authority to act on nVent’s behalf with respect to matters relating to the provision of Services under this Agreement. The nVent Services Manager will work with the personnel of the nVent Group to periodically address issues and matters raised by Pentair relating to the provision of Services under this Agreement. Transition Services Managers. (a) RemainCo shall designate its initial services manager by written notice to SpinCo within five (5) Business Days after the Distribution Date (the “RemainCo Services Manager”), who shall have authority to act on a Recipient’s behalf with respect to all matters relating to this Agreement. The RemainCo Services Manager shall work with the personnel of the RemainCo Entities to periodically address issues and matters raised by SpinCo relating to this Agreement. Notwithstanding the requirements of Section 10.06, all communications from SpinCo to any Recipient pursuant to this Agreement regarding routine matters involving the Services set forth in the Schedules shall be made through the RemainCo Services Manager, or such other individual as specified by the RemainCo Services Manager in writing and delivered to SpinCo by e-mail. RemainCo shall notify SpinCo in writing (email being sufficient) of the appointment of a different RemainCo Services Manager.
(b) SpinCo shall designate its initial services manager by written notice to RemainCo within five (5) Business Days after the Distribution Date (the “SpinCo Services Manager”), who shall be directly responsible for coordinating and managing the delivery of the Services provided by SpinCo and have authority to act on SpinCo’s behalf with respect to all matters relating to this Agreement. Notwithstanding the requirements of Section 10.06, all communications from any Recipient to SpinCo pursuant to this Agreement regarding routine matters involving the Services set forth in the Schedules shall be made through the SpinCo Services Manager, or such other individual as specified by the SpinCo Services Manager in writing and delivered to RemainCo by e-mail. SpinCo shall notify RemainCo in writing (email being sufficient) of the appointment of a different SpinCo Services Manager.

(a) CBS hereby appoints and designates the individual holding the CBS position set forth on Exhibit I to act as its initial services manager (the “CBS Services Manager”), who will be directly responsible for coordinating and managing the delivery of the CBS Services and have authority to act on CBS’s behalf with respect to matters relating to the provision of Services under this Agreement. The CBS Services Manager will work with the personnel of the CBS Group to periodically address issues and matters raised by the Entercom Group relating to the provision of Services under this Agreement. Notwithstanding the requirements of Section 8.06, all communications from the Entercom Group to CBS pursuant to this Agreement regarding routine matters involving a Service shall be made first through the individual specified as the local service manager (the “CBS Local Service Manager”) with respect to such Service on Schedule A or such other individual as may be specified by the CBS Services Manager in writing and delivered to Entercom by email or facsimile transmission with receipt confirmed; provided that, if the CBS Local Service Manager is not available, communication shall thereafter be made through the CBS Services Manager. CBS shall notify Entercom of the appointment of a different CBS Services Manager or CBS Local Service Manager(s), if necessary, in accordance with Section 8.06.

(a) Parent hereby appoints and designates the individual holding the Parent position set forth on Exhibit I to act as its initial services manager (the “Parent Services Manager”), who will be directly responsible for coordinating and managing the delivery of the Parent Services and have authority to act on Parent’s behalf with respect to matters relating to the provision of Services under this Agreement. The Parent Services Manager will work with the personnel of the Parent Group to periodically address issues and matters raised by ▇▇▇▇ relating to the provision of Services under this Agreement. Notwithstanding the requirements of Section 9.5, all communications from ▇▇▇▇ to Parent pursuant to this Agreement regarding routine matters involving a Service shall be made first through the individual specified as the local service manager (the “Parent Local Service Manager”) with respect to such Service on Schedule A or such other individual as may be specified by the Parent Services Manager in writing and delivered to ▇▇▇▇ by email or facsimile transmission with receipt confirmed; provided that, if the Parent Local Service Manager is not available, communication shall thereafter be made through the Parent Services Manager. Parent shall notify ▇▇▇▇ of the appointment of a different Parent Services Manager or Parent Local Service Manager(s), if necessary, in accordance with Section 9.5.
Transition Services Managers. Each Party has designated the employee of such Party (or its Affiliate) set forth below its name on Schedule 1 hereto as its “Transition Services Manager” for this Agreement. Each Transition Services Manager shall have appropriate decision-making authority from its respective Party, and shall be responsible for such Party’s general oversight and monitoring of the activities contemplated by this Agreement, including supervision of its respective Project Managers. Any disputes or disagreements that are unresolved by any applicable Project Managers shall be escalated to the Transition Services Managers for attempted resolution in the first instance. A Party may replace its Transition Services Manager at any time and for any reason, and such replacement shall be effective upon written notice to the other Party of such replacement.

(a) GE hereby appoints and designates ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ to act as its initial services manager (the “GE Services Manager”), who will be directly responsible for coordinating and managing the delivery of the GE Services and have authority to act on GE’s behalf with respect to matters relating to this Agreement. The GE Services Manager will work with the personnel of the GE Entities to periodically address issues and matters raised by Newco relating to this Agreement. Notwithstanding the requirements of Section 11.05, all communications from Newco to GE pursuant to this Agreement regarding significant matters involving the Services set forth in the Schedules shall be made through the GE Services Manager, or such other individual as specified by the GE Services Manager in writing and delivered to Newco by email or facsimile transmission with receipt confirmed. GE shall notify Newco of the appointment of a different GE Services Manager, if necessary, in accordance with Section 11.05.

GE shall notify the Acquiror of the appointment of a different GE Services Manager, if necessary, in accordance with Section 11.06.

(a) ▇▇▇▇▇▇ Europe shall appoint an individual, by giving written notice thereof to LBHI within three (3) Business Days following the Commencement Date, to act as its initial services manager (the “▇▇▇▇▇▇ Europe Services Manager”), who will be directly responsible for coordinating and managing the delivery of the ▇▇▇▇▇▇ Europe Employee Services and the ▇▇▇▇▇▇ Europe Services and have authority to act on ▇▇▇▇▇▇ Europe’s behalf with respect to matters relating to this Agreement. The ▇▇▇▇▇▇ Europe Services Manager will work with the personnel of ▇▇▇▇▇▇ Europe to periodically address issues and matters raised by LBHI relating to this Agreement. Notwithstanding the requirements of Section 9.05, all communications from LBHI to ▇▇▇▇▇▇ Europe pursuant to this Agreement regarding routine matters involving the ▇▇▇▇▇▇ Europe Services shall be made through the ▇▇▇▇▇▇ Europe Services Manager, or such other individual as specified by the ▇▇▇▇▇▇ Europe Services Manager in writing and delivered to LBHI by email or facsimile transmission with receipt confirmed. ▇▇▇▇▇▇ Europe shall promptly notify LBHI of the appointment of a different ▇▇▇▇▇▇ Europe Services Manager, if necessary, in accordance with Section 9.05.
(b) LBHI shall appoint an individual, by giving written notice thereof to ▇▇▇▇▇▇ Europe within three (3) Business Days following the Commencement Date, to act as its initial services manager (the “LBHI Services Manager” together with the ▇▇▇▇▇▇ Europe Services Manager the “Services Managers”), who will be directly responsible for coordinating and managing the delivery of the LBHI Employee Services and the LBHI Services and have authority to act on LBHI’s behalf with respect to matters relating to this Agreement. The LBHI Services Manager will work with the personnel of LBHI to periodically address issues and matters raised by ▇▇▇▇▇▇ Europe relating to this Agreement. Notwithstanding the requirements of Section 9.05, all communications from ▇▇▇▇▇▇ Europe to LBHI pursuant to this Agreement regarding routine matters involving the LBHI Services shall be made through the LBHI Services Manager, or such other individual as specified by the LBHI Services Manager in writing and delivered to ▇▇▇▇▇▇ Europe by email or facsimile transmission with receipt confirmed. LBHI shall promptly notify ▇▇▇▇▇▇ Europe of the appointment of a different LBHI Services Manager, if necessary, in accordance with Section 9.05.

Service Provider will appoint a transition service manager who will be directly responsible for coordinating and managing the delivery of the Transition Services and have authority to act on Service Provider’s behalf with respect to matters relating to this Agreement. The Transition Services Manager will work with Service Provider personnel to develop and execute detailed transition plans and address issues and matters raised by Recipient relating to this Agreement as set forth herein. • Recipient will appoint a Transition Services Manager who will be directly responsible for coordinating and managing Recipient activities and have authority to act on Recipient’s behalf with respect to matters relating to this Agreement. Recipient Services Manager will work with Recipient personnel develop and execute detailed transition plans and to address issues and matters raised by Service Provider relating to this Agreement as set forth herein.
