TRANSFERS AND MERGERS; LEASES, ETC. The Mortgagor shall not (i) sell, assign, transfer or otherwise dispose of the Mortgaged Property or any part thereof or interest therein, or (ii) merge or consolidate with any other person, or (iii) lease all or any portion of the Mortgaged Property to any other person, except pursuant to a lease which is subject and subordinate in all respects to this Mortgage, or (iv) enter into any contract or agreement to do any of the foregoing, expressly including, without limitation, any land contract, lease/purchase, lease/option or option agreement, EXCEPT to the extent permitted by, and in compliance with the requirements of, section 9.2 of the Credit Agreement.

  • Assignments and Transfers by the Company This Agreement may not be assigned by the Company (whether by operation of law or otherwise) without the prior written consent of the Required Investors, provided, however, that the Company may assign its rights and delegate its duties hereunder to any surviving or successor corporation in connection with a merger or consolidation of the Company with another corporation, or a sale, transfer or other disposition of all or substantially all of the Company’s assets to another corporation, without the prior written consent of the Required Investors, after notice duly given by the Company to each Investor.
