Common use of Transferee Obligations Clause in Contracts

Transferee Obligations. Each person (other than the Company) to whom this Warrant or the Purchased Shares are transferred, in whole or in part, by means of a permitted transfer must, as a condition precedent to the validity of such transfer, acknowledge in writing to the Company that such person is bound by the provisions of this Warrant to the same extent this Warrant or the Purchased Shares would be so subject if retained by Holder.

Transferee Obligations. Each person (other than the Company) to whom this Warrant or the Purchased Shares are transferred, in whole or in part, transferred by means of a one of the permitted transfer transfers specified in Section 3.1 hereof must, as a condition precedent to the validity of such transfer, acknowledge in writing to the Company that such person is bound by the provisions of this Warrant Agreement and that the transferred shares are subject to the market standoff provisions of Section 3.3 hereof and the right of first refusal under Section 4 hereof, to the same extent this Warrant or the Purchased Shares such shares would be so subject if retained by HolderPurchaser.

Each person (other than the CompanyCompany and the Foundation) to whom this Warrant or the Purchased Shares are transferred, in whole or in part, by means of a permitted transfer transferred must, as a condition precedent to the validity of such transfer, acknowledge in writing to the Company that such person is bound by the provisions of this Warrant Agreement and that the transferred shares are subject to the market stand-off provisions of paragraph 3.2 to the same extent this Warrant or the Purchased Shares such shares would be so subject if retained by HolderPurchaser.

Each person (other than the Company) to whom this Warrant or the any Purchased Shares are transferred, in whole or in part, transferred by means of a permitted transfer any sale, assignment, transfer, gift, pledge, encumbrance, hypothecation, grant or security interest or any other voluntary or involuntary disposition of Purchased Shares must, as a condition precedent to the validity of such transfer, acknowledge in writing to the Company Corporation that such person is bound by the provisions of this Warrant to Agreement and the same extent this Warrant or the Purchased Shares would be so subject if retained by HolderStockholders Agreement.
