Common use of Transferability and Export Clause in Contracts

Transferability and Export. All Company Intellectual Property will be fully transferable, alienable or licensable by Surviving Company and/or Parent without restriction and without payment of any kind to any third party. All Company Intellectual Property may be exported or transferred out of Israel without restriction and without payment of any kind to any third party or Governmental Entity, other than the OCS as set forth in Section 3.8(i) of the Company Disclosure Letter.

Transferability and Export. All Company Intellectual Property will be fully transferable, alienable or licensable by Surviving the Company, a Subsidiary of the Company and/or Parent Buyer without restriction and without payment of any kind to any third party. All Other than as set forth on Section 4.12(e) of the Disclosure Schedule, all Company Intellectual Property may be exported or transferred out of Israel without restriction and without payment of any kind to any third party or Governmental Entity, other than the OCS as set forth in Section 3.8(i) of the Company Disclosure LetterAuthority.
