Transferability and Export Clause Samples
Transferability and Export. All Company Intellectual Property will be fully transferable, alienable or licensable by Surviving Company and/or Parent without restriction and without payment of any kind to any third party. All Company Intellectual Property may be exported or transferred out of Israel without restriction and without payment of any kind to any third party or Governmental Entity, other than the OCS as set forth in Section 3.8(i) of the Company Disclosure Letter.
Transferability and Export. All Company IP (including Source Code thereof) is and, immediately following Closing, will be fully transferable, alienable, licensable and may be exported out of Israel by the Company, one of its Subsidiaries or Buyer without restriction, obligation or payment of any kind (excluding applicable Taxes) and without approval of any third Person, including any Governmental Authority.
