Common use of Transfer of Funds to the Trustee Clause in Contracts

Transfer of Funds to the Trustee. Upon the receipt of written notice executed by the Trustee, which states that (a) an Event of Default hereunder has occurred and is continuing and (b) the Trustee is entitled to the funds in the Accounts and the Disbursed Funds Account (a copy of which notice shall be sent by the Trustee to the Issuers concurrently therewith), the Disbursement Agent shall, without need for further authorization or notice to the Issuers, deliver to the Trustee all funds in the Accounts and the Disbursed Funds Account.

Transfer of Funds to the Trustee. The Disbursement Agent may rely on the Disbursed Funds Accountveracity of such certificate unless it has actual knowledge to the contrary.
