Common use of Transfer Fees and Expenses Clause in Contracts

Transfer Fees and Expenses. The Seller shall be responsible for the payment of any and all fees, charges or Taxes incurred in connection with the transfer of any of the Acquired Assets by the Seller to the Buyer. Whether or not the transactions contemplated hereby shall be consummated, each of the Parties will bear its, his or her own costs and expenses and will pay for all services rendered to it in facilitation of the transactions contemplated hereby, including, without limitation, attorneys’ and accountants’ fees.
