Common use of TRANSACTIONAL LITIGATION Clause in Contracts

TRANSACTIONAL LITIGATION. No action, suit or proceeding before any Governmental Agency shall have been commenced and not dismissed, and no investigation by any Governmental Agency shall have been commenced or overtly threatened, against the parties or any of their officers, directors or shareholders seeking to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactions.

TRANSACTIONAL LITIGATION. No action, suit or proceeding before any Governmental Agency shall have been commenced and not dismissed, and no investigation by any Governmental Agency shall have been commenced or overtly threatened, against the parties hereto or any of their officers, directors or shareholders stockholders seeking to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactions.

No action, suit or proceeding before any Governmental Agency shall have been commenced and not dismissedcommenced, and no investigation by any Governmental Agency shall have been commenced or overtly threatened, against the parties Company, the Buyer, Merger Sub or any of their respective principals, officers, directors or shareholders stockholders seeking to restrain, prevent or change the transactions contemplated hereby or questioning the validity or legality of any of such transactions or seeking damages in connection with any of such transactionstransactions other than Dissenters' Rights.
