Common use of TRANSACTION DATE Clause in Contracts

TRANSACTION DATE. By ICC, Buyer or Company if the Effective Time shall not have occurred by June 30, 2004, unless such failure shall be due to a material breach of any representation or warranty, or the nonfulfillment in any material respect, and failure to cure such nonfulfillment, of any covenant or agreement contained in this Agreement on the part of the party or parties seeking to terminate.
