Transaction Consideration. The aggregate amount of consideration payable by Purchaser to the Sellers for the Interests (the “Transaction Consideration”) shall be (a) an amount in cash and a number of Shares equal to the Closing Consideration plus (b) each of the Milestone Payments, when, if and to the extent payable pursuant to Section 2.7.
