Transaction and Advisory Fee. In consideration of BMP undertaking the financial and structural analysis, due diligence investigations, other advice and negotiation assistance necessary in order to enable the Transactions to be consummated, the Company will pay to BMP, at the Effective Time (as defined herein), a transaction and advisory fee of an amount equal to $49,000,000.
