As of the date hereof: (i) the ---------------- Transferor's chief executive office is located at the address for notices set forth in Section 10.3 hereof; (ii) the Transferor has only the subsidiaries and divisions listed on Exhibit H hereto; and (iii) the Transferor has, within the last five (5) years, operated only under the tradenames identified in Exhibit H hereto, and, within the last five (5) years, has not changed its name, merged with or into or consolidated with any other corporation or been the subject of any proceeding under Xxxxx 00, Xxxxxx Xxxxxx Code (Bankruptcy), except as disclosed in Exhibit H hereto.
