The Company and its Subsidiaries have good and marketable title to their properties and assets shown as owned on the Balance Sheet and as acquired since the Balance Sheet Date (except for assets disposed of in the ordinary course of business since the Balance Sheet Date), free and clear of any and all Encumbrances, except as set forth in SCHEDULE 5.14 thereto and except for Permitted Encumbrances.
