Common use of Title Review and Cooperation Clause in Contracts

Title Review and Cooperation. Grantor shall cooperate with Grantee to obtain nondisturbance, subordination and other title curative agreements from any person with a lien, encumbrance, mortgage, lease or other exception to Grantor’s fee title to the Premises to the extent necessary to eliminate any actual or potential interference by any such person with any rights granted to Grantee under this Agreement. If Grantee and Grantor are unable to obtain such agreements from any third party holding an interest in the Premises, Grantee and any assignee of Grantee shall be entitled (but not obligated) to make payments in fulfillment of Grantor’s obligations to such third party and may offset the amount of such payments from amounts due Grantor under this Agreement. Grantor shall also provide Grantee with any further assurances and shall execute any estoppel certificates, consents to assignments or additional documents that may be reasonably necessary for recording purposes or otherwise reasonably requested by Grantee.
