Title and Construction Sample Clauses

The "Title and Construction" clause defines how the headings or titles of sections within a contract are to be interpreted and clarifies the rules for construing the agreement’s language. Typically, this clause states that section titles are for convenience only and do not affect the meaning or interpretation of the contract’s provisions. It may also specify that the contract should be interpreted as a whole, without giving undue weight to any particular heading or formatting. The core function of this clause is to prevent disputes over the significance of section titles and to ensure that the contract is interpreted based on its substantive content rather than its organizational structure.
