Common use of Time, Place and Manner of Performance Clause in Contracts

Time, Place and Manner of Performance. The Consultant shall be available for advice and counsel to the officers and directors of the Client as such reasonable and convenient times and places as may be mutually agreed upon. Except as aforesaid, the time, place and manner of performance of the services hereunder, including the amount of time to be allocated by the Consultant to any specific service, shall be determined at the sole discretion of the Consultant.

Time, Place and Manner of Performance. The Consultant shall be available for advice and counsel to the officers Client and directors representatives and agents of the Client as at such reasonable and convenient times and places as may be mutually agreed upon. Except as aforesaid, The services of Consultant shall not be Exclusive but the Consultant will be required to provide services requested in an expedient and time-sensitive manner. The time, place and manner of the performance of the services hereunder, including the amount of time to be allocated by the Consultant to any specific service, shall be determined at the sole discretion of the Consultant.

Except as aforesaidConsultant has been performing such services since October 16, the time, place 1998 and manner of performance of the services hereunder, including the amount of time agrees to be allocated by the Consultant reasonably available to any specific servicecontinue to perform such services through January 31, shall be determined 2000 at the sole discretion of the ConsultantCompany's request.

Except as aforesaid, Consultant agrees to devote at least 50% of the time, place time and manner efforts of each of its employees to the performance of the services hereunderits obligations under this Agreement through May 31, including the amount of time to be allocated by the Consultant to any specific service, shall be determined at the sole discretion of the Consultant1996. 3.

The Client acknowledges and understands that neither the Consultant nor its representatives shall participate in any negotiations between the Client and any financing, merger and/or acquisition candidate.
