Third Recital Clause Samples

The Third Recital is a preliminary statement in a contract that outlines the background or context relevant to the agreement. It typically provides information about the parties’ intentions, prior dealings, or the circumstances leading up to the contract. For example, it might reference previous negotiations or the purpose behind entering into the agreement. Its core practical function is to set the stage for the operative provisions, ensuring that the parties’ motivations and the context of the contract are clearly understood, which can aid in interpreting the contract’s terms if disputes arise.
