RECITALS WHEREAS the Lessor is the registered owner of the Vehicle, WHEREAS, the Lessor is desirous of leasing the Vehicle to the Lessee on such terms as are set out in this Vehicle Lease Agreement (the Agreement”) and the Lessee is desirous of leasing the Vehicle from the Lessor on said terms, WHEREAS, this Agreement is a lease-only and Lessee will have no right, title, or interest in or to the Vehicle except for the use of the Vehicle as described in this Agreement, WHEREAS, this Agreement shall be treated as a true lease for federal and applicable state income tax purposes with Lessor having all benefits of ownership of the Vehicle, NOW, THEREFORE, IT IS HEREBY AGREED as follows: 2.
RECITALS WHEREAS. A. Company is in the business of DESCRIPTION OF BUSINESS; and B. Both parties wish to enter into this Agreement, whereby Company will pay Affiliate a fee (as described below) for each client of Company referred by Affiliate to Company, subject to the terms and conditions of this Agreement;

Funding Corporation is a corporation established for the sole purpose of making loans to the Guarantors from proceeds of the issuance of notes and bonds (collectively, the "Securities") in its individual capacity as principal and as agent acting on behalf of the Guarantors pursuant to the Indenture; and

AYR STRATEGIES INC., continued under the laws of the Province of British Columbia (hereinafter called the “Corporation”) ODYSSEY TRUST COMPANY, a trust company incorporated under the Loan and Trust Corporations Act (Alberta) with an office in the City of Calgary in the Province of Alberta (hereinafter called the “Warrant Agent”)
RECITALS WHEREAS. On June 30, 2016, Plaintiffs filed a class action complaint alleging that the DHS Defendants failed to provide asylum seekers with notice of the statutory deadline requiring filing of an asylum application within one year of arrival in the United States (“one-year deadline”) and alleging that DHS and EOIR Defendants failed to create a uniform procedural mechanism that ensures asylum seekers the opportunity to comply with that deadline; On January 10, 2017, the Court granted Plaintiffs’ motion for class certification, certifying the following classes: Class A (“Credible Fear Class”): All individuals who have been released or will be released from DHS custody after they have been found to have a credible fear of persecution within the meaning of 8 U.S.C. § 1225(b)(1)(B)(v) and did not receive notice from DHS of the one-year deadline to file an asylum application as set forth in 8 U.S.C. § 1158(a)(2)(B);
RECITALS WHEREAS. A. The Development Consultant has experience in the development of similar projects to the Project and has the ability to perform the necessary Consultant Services to assist the Client in the development of the Project;
RECITALS WHEREAS. A. On 20 March 2006 the Authority issued a pre qualification questionnaire (the "PQQ") in relation to its requirements for an operator of the Home Condition Report Register (the "Scheme").
