Common use of Third Party Request Clause in Contracts

Third Party Request. Should a Third Party, including law enforcement and government entities, contact Provider with a request for data held by the Provider pursuant to the Services, the Provider shall redirect the Third Party to request the data directly from the LEA. Provider shall notify the LEA in advance of a compelled disclosure to a Third Party unless legally prohibited. The Provider shall not use, disclose, compile, transfer, sell the Student Data, Student Generated Content and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof.

Third Party Request. Provider shall notify the LEA School Unit in advance of a compelled disclosure to a Third Party unless legally prohibitedParty. The Provider shall will not use, disclose, compile, transfer, and/or sell the Student Data, Student Generated Content Data and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof.

Provider shall notify the LEA in advance of a compelled disclosure to a Third Party Party, unless legally prohibited. The Provider shall will not use, disclose, compile, transfer, sell the Student Data, Student Generated Content Data and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof., except

Third Party Request. Should a Third Party, including including, but not limited to law enforcement enforcement, former employees of the Client, current employees of the Client, and government entities, contact Provider with a request for data Student Data held by the Provider pursuant to the Services, Provider shall, to the Provider shall extent permitted by Applicable Law, redirect the Third Party to request the data Student Data directly from the LEAClient and shall cooperate with the Client to collect the required information. Provider shall notify the LEA Client in advance of a compelled disclosure to a Third Party Party, unless legally prohibited. The Provider shall will not use, disclose, compilelend, lease, transfer, sell the Student Data, Student Generated Content and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof to any Third Party or allow any Third Party to use the Student Data and/or any portion thereof, without the express written consent of the Client or without a court order or lawfully issued subpoena. Student Data shall not include De-Identified Information or anonymous usage data regarding a student’s use of the Services.

The aforementioned shall not apply to Provider’s Subprocessors so long as they have been contracted for supporting Provider’s business and data is transferred for the purpose of providing the Service.

The Provider shall will not use, disclose, compile, transfer, and/or sell the Student Data, Student Generated Content Data and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereofthereof except Sub processors that are contracted with Provider to provide the Services.

Provider shall notify the LEA in advance of a compelled disclosure to a Third Party unless legally prohibited. The Provider shall not use, disclose, compile, transfer, sell the Student Data, Student Generated Content and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof.
