Common use of Third Party Request Clause in Contracts

Third Party Request. Should a Third Party, including, but not limited to law enforcement, former employees of the LEA, current employees of the LEA, and government entities, contact Provider with a request for data held by the Provider pursuant to the Services, the Provider shall redirect the Third Party to request the data directly from the LEA and shall cooperate with the LEA to collect the required information. Provider shall notify the LEA in advance of a compelled disclosure to a Third Party, unless legally prohibited. The Provider will not use, disclose, compile, transfer, sell the Student Data and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof, without the express written consent of the LEA or without a court order or lawfully issued subpoena. Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s services.

Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s services.

Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s servicesServices.

Student Data shall not constitute that information that has been anonymized or de-de- identified, or anonymous usage data regarding a student’s use of Provider’s services.

The Provider will not use, disclose, compile, transfer, sell the Student Data and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof, without the express written consent of the LEA or without a court order or lawfully issued subpoena. Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s services.

The Parties agree that as between them, all rights, including all intellectual property rights in and to Usage Data contemplated per this Agreement shall remain the exclusive property of Provider.

Notwithstanding the foregoing, the Provider may disclose, compile and transfer the Student Data shall not constitute that information to a Subprocessor. Information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s servicesservices does not constitute “Student Data” under this DPA.

Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s services.

Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s services.

Third Party Request. The Provider will not use, disclose, compile, transfer, or sell the Student Data and/or any portion thereof to any third party or other entity Third Party or allow any other third party or other entity Third Party to useuse (except as authorized herein for Subprocessors), disclose, compile, transfer or sell the Student Data and/or any portion thereof, without the express written consent of the LEA or without a court order or lawfully issued subpoena. Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s services.

Third Party Request. Student Data shall not constitute that information that has been anonymized or de-de- identified, or anonymous usage data regarding a student’s use of Provider’s services.

Third Party Request. Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s services.

Third Party Request. Should a Third PartyParty (excluding a Subprocessor), including, but not limited to law enforcement, former employees of the LEA, current employees of the LEA, and government entities, contact Provider PROVIDER with a request for data held by the Provider PROVIDER pursuant to the Services, the Provider PROVIDER shall redirect the Third Party to request the data directly from the LEA CLIENT and shall cooperate with the LEA CLIENT to collect the required information. Provider PROVIDER shall notify the LEA CLIENT in advance of a compelled disclosure to a Third Party, unless legally prohibited. The Provider PROVIDER will not use, disclose, compile, transfer, sell the Student Data and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof, without the express written consent of the LEA CLIENT or without a court order or lawfully issued subpoena. Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of ProviderPROVIDER’s services.

Should Except for data requests from government agencies such as the U.S. Department of Education under the Cooperative Agreement that include reporting obligations and/or audit requirements directed to Provider, should a different Third Party, including, but not limited to law enforcement, former employees of the LEA, and current employees of the LEA, and government entities, contact Provider with a request for data held by the Provider pursuant to the Services, the Provider shall redirect the Third Party to request the data directly from the LEA and shall cooperate with the LEA to collect the required information. Provider shall notify the LEA in advance of a compelled disclosure to a Third Party, unless legally prohibited. The Except for data requests from the U.S. Department of Education under the Cooperative Agreement, which include reporting obligations and audit requirements, the Provider will not use, disclose, compile, transfer, sell the Student Data and/or any portion thereof to any third party other Third Party or other entity or allow any other third party Third Party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof, without the express written consent of the LEA or without a court order or lawfully issued subpoena. Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s services.

Third Party Request. Should a Third Party, including, but not limited to including law enforcement, former employees of the LEA, current employees of the LEA, enforcement and government entities, contact Provider with a non-legally compelled request for data held by the Provider pursuant to the Services, the Provider shall redirect the Third Party to request the data directly from the LEA and shall cooperate with the LEA to collect the required informationLEA. Provider shall notify the LEA in advance of a compelled disclosure to a Third Party, unless legally prohibited. The Except for the disclosure described in Article II.1(b) and/or (c), and/or unless a parent or legal guardian has provided consent to the LEA or the Provider for Student Data to be disclosed to a third party, the Provider will not use, disclose, compile, transfer, sell the Student Data and/or any portion thereof to any third party or other entity or allow any other third party or other entity to use, disclose, compile, transfer or sell the Student Data and/or any portion thereof, without the express written consent of the LEA or without a court order or lawfully issued subpoena. Student Data shall not constitute that information that has been anonymized or de-identified, or anonymous usage data regarding a student’s use of Provider’s services.
