Third Party End User Agreement. During the Term, as a part of its subscription, Subscriber may permit End Users to access the Software; provided, that Subscriber shall secure such third party’s consent to an End User agreement that includes terms and conditions at least as protective of NICS and its Licensors as those set forth on Schedule B and use and intellectual property ownership provisions consistent with and no less protective of NICS than the terms in the Agreement. Notwithstanding any other term to the contrary, Subscriber shall indemnify and hold harmless NICS, its licensors and affiliates and their directors, shareholders, agents and employees, of, from and against any costs, losses, liabilities and expenses (including reasonable attorneys’ fees) that would not have been incurred but for Subscriber’s failure to adhere to the requirements of this Section 2.3.
