Common use of Third Amendment Clause in Contracts

Third Amendment. The Administrative Agent shall have received (i) this Third Amendment, executed and delivered by the Borrower and each Lender, which shall be in full force and effect and (ii) the Reaffirmation Agreement, executed and delivered by each Guarantor, which shall be in full force and effect.

Third Amendment. The Administrative Agent shall have received (i) this Third Amendment, Amendment executed and delivered by a duly authorized officer of the Borrower Borrower, the Administrative Agent and each Lender, Lenders constituting no less than the Required Lenders which shall be in full force and effect and (ii) originals or facsimiles or “.pdf” or “tiff” files unless otherwise specified, dated as of the Reaffirmation Agreement, executed and delivered by each Guarantor, which shall be in full force and effectThird Amendment Effective Date.

The Administrative Agent shall have executed and delivered this Third Amendment and the Administrative Agent shall have received (i) this Third Amendment, executed and delivered by a duly authorized officer of each of the Borrower and each Lender, which shall be the Required Lenders (determined immediately after giving effect to the issuance of the Senior Secured Notes on the Third Amendment Effective Date and the application of a portion of the proceeds thereof to repay in full force all then outstanding Term Loans, together with all accrued and effect and (ii) the Reaffirmation Agreement, executed and delivered by each Guarantor, which shall be in full force and effectunpaid interest thereon).

The Administrative Agent shall have received (i) this Third Amendment, duly executed and delivered by the Borrower and each Lender(i) Holdings, which shall be in full force and effect and (ii) each Borrower, (iii) each of the Reaffirmation Lenders under the Existing Credit Agreement, executed (iv) each Issuer and delivered by each Guarantor, which shall be in full force and effect(v) the Swing Loan Lender.

Third Amendment. The Administrative Agent shall have received (i) counterparts of this Third Amendment, Amendment executed and delivered by the Borrower and each Lender, which shall be in full force and effect and (ii) the Reaffirmation Agreement, executed and delivered by each Guarantor, which shall be in full force and effectall Lenders.

Third Amendment.
