These Terms shall. (a) apply to and be incorporated into the Contract; (a) be in substitution of any oral or other arrangements made between the Company and the Supplier; and (b) apply to the exclusion of any inconsistent terms or conditions contained in or referred to in the Supplier's quotation, acceptance, correspondence or any other terms that the Supplier seeks to impose or incorporate or which are implied by law, trade, custom, practice or course of dealing.
