Common use of The Second Retention Bonus Clause in Contracts

The Second Retention Bonus. If the Executive remains continuously employed by the Company until the Third Anniversary Date the Company shall pay the Executive, in a cash lump sum within five (5) days following such Third Anniversary Date, one million seven hundred and four thousand four hundred and thirty four Dollars ($1,704,434) (the “Second Retention Bonus,” together with the First Retention Bonus, the “Retention Bonus”). If the Executive’s employment is terminated prior to the Third Anniversary Date by the Company without “Cause” or for “Disability,” or by the Executive with “Good Reason” (as those terms are defined herein) or as a result of the Executive’s death, the Company shall pay the Executive, in a cash lump sum within fifteen (15) days following the Date of Termination, subject to Section 15, an amount equal to the product of (A) the Second Retention Bonus and (B) a fraction, the numerator of which is the number of days the Executive was employed between, and including, the Effective Date and the Date of Termination and the denominator of which is 1095.
