Common use of The Purchase and Sale of Stock Clause in Contracts

The Purchase and Sale of Stock. Upon the terms and subject to the conditions of this Agreement, at the Closing (hereinafter defined), the Stockholders shall sell to Compass, and Compass shall purchase from Stockholders, all of the outstanding shares of capital stock of the Company, consisting of 102,900 shares of Common Stock, par value $0.01 per share, of the Company (the "Company Stock").

The Purchase and Sale of Stock. Upon the terms and subject to the conditions of this Agreement, at the Closing (hereinafter defined), the Stockholders shall sell to Compass, and Compass shall purchase from Stockholders, all of the outstanding shares of capital stock of the Company, consisting of 102,900 100 shares of Common StockStock of ITG and 2,489 shares of common stock of LT, each without par value $0.01 per share(collectively, of the Company (the "Company Stock").
