The Private Units. The Private Placement Shares, the Private Placement Warrants and the shares of Common Stock issuable upon exercise of the Private Placement Warrants are hereinafter referred to collectively as the “Private Placement Securities”. No underwriting discounts, commissions, or placement fees have been or will be payable in connection with the Private Placement Securities. The Public Securities, the Underwriter Securities, the Private Placement Securities, and the Founder Shares are hereinafter referred to collectively as the “Securities”.
