Common use of The Convenience of the Department Clause in Contracts

The Convenience of the Department. The DEPARTMENT may terminate this contract in whole or in part without the payment of any penalty or incurring any further obligation to the CONTRACTOR whenever, for any reason, the DEPARTMENT shall determine that such termination is in the best interest of the State. In this event, the DEPARTMENT shall issue a termination notice to the CONTRACTOR at least ten (10) days prior to the effective termination date.

The Convenience of the Department. The DEPARTMENT Department may terminate this contract in whole or in part without the payment of any penalty or incurring any further obligation to the CONTRACTOR Contractor whenever, for any reason, the DEPARTMENT Department shall determine that such termination is in the best interest of the State. In this event, the DEPARTMENT Department shall issue a termination notice to the CONTRACTOR Contractor at least ten thirty (1030) working days prior to the effective termination date. Following termination upon notice, the Contractor shall be entitled to compensation, upon submission of invoices and proper proof of claim, for services provided under this contract and non-cancelable obligations incurred up to and including the date of termination.
